HOMETELiER PREMIUM PROPERTY MANAGEMENT SERVICE AGREEMENT

This Listing and Full Management Service Agreement (the “Agreement”) is entered by HOMETELiER LLC, (identified using the terms “HOMETELiER”), and Owner: _____________ (identified using the term “Owner” – and must match the name(s) provided on Owner’s banking info, and tax records), individually a “Party” and collectively the “Parties,” as of the date HOMETELiER approves this Agreement and notifies Owner of its acceptance and contains the terms on which HOMETELiER will provide Management services to for the following:

Contract Duration: Contract remains in effect until either Party notifies the other of Termination

SERVICE FEE.  HOMETELiER charges a _______ fee to the Owner (“Premium Fee”) for the services outlined in this Agreement. A Cleaning Fee, based on the property type and number of bedrooms in the Service Fee Addendum, is billed separately to the nightly rate directly to Guests, per stay. The Management Fee and Cleaning Fee are collectively known as the “Service Fee”. For each Reservation serviced by Us, through any Channel, HOMETELiER shall be entitled to charge Service Fees. Cleaning Fees will be billed to the guest by HOMETELiER and all income from cleaning will be paid to and collected by HOMETELiER. Cleaning revenue is not to be considered owner income.

HOMEOWNER RESPONSIBILITIES: 

The below  line items are required responsibilities and not optional responsibilities.* 

If HomeTelier is contracted to provide any additional services fees may apply.*

1. Owner shall maintain an insurance policy that is suitable for short term rentals.

2. Any and all Channel Host fees are the responsibility of the Owner.

3. Owner shall be responsible for filing rental licenses unless contracted by HOMETELiER to do so.

5. Owner shall be required to pay TPT tax filings unless contracted by HOMETELiER to do so.

5. Owner shall be responsible for managing the heating of the pool for guests if applicable, unless contracted by HOMETELiER to do so.

6. Owner shall be responsible for the maintenance of the property and insure the operation of the major systems within the property including but not limited to Electrical, HVAC, Plumbing, Roofing, Gas. Fire alarms, etc. unless contracted by HOMETELiER to do so.

GUEST: A Guest is defined as a short term occupant that has booked to stay at the property though either HOMETELiER Direct booking, Air BNB, VRBO, Etc.

TERMS OF PAYMENT. By default, full payment is collected directly by HOMETELiER for each reservation, and a Payout Statement is prepared at the end of each corresponding month. HOMETELiER shall release all payments received for the full month of Reservations, less Service Fees (defined above) and any expenses that HOMETELiER has contracted for under $300.00 or Owner have authorized HOMETELiER over written communication, including Whatsapp messenger and email, to Owner on the 10th day of the following month to the best of HOMETELiER’s abilities.  Holidays, weekends, and circumstances outside of HOMETELiER’s control may delay payment. . Owners are obligated to maintain current and valid bank account information on file with HOMETELiER for the release of payment to Owner. In the event that there is a negative balance and the end of the month, the credit card Owner has on file will be charged in the amount that is negative. Payments may be delayed by bank processing by 1-7 business days once released. HOMETELiER attempts to make payments by the 10th of every month. Banks and ACH payments can take from 1-7 business days for delivery and are outside the control of HOMETELiER.

EXCLUSIVITY; NON-COMPETE. By signing this agreement, Owner assigns HOMETELiER to be the exclusive listing party, Owner, and management representative of Owner’s Property. Unless otherwise agreed upon by both parties, Owner (Owner’s current representatives or Owner(s) will not separately list, Owner, or contract such services to list or Owner with another service provider or any Channel(s). Should this assignment be broken or performed against in any way, HOMETELiER reserves the right to terminate the service of a short term rental property immediately.

PREMIUM SERVICES. Upon its acceptance of this Agreement on the signed date at the end of this Agreement, HOMETELiER shall reserve the right to provide the following services (collectively, the “Services”) during the Term of the Agreement: Our services include but are not limited to; Adjusting the Listing calendar as appropriate on an ongoing basis; Adjusting the Listing’s nightly rates as appropriate on an ongoing basis; Accepting and declining Guest Booking requests for the Listing; Extending, shortening, or otherwise altering Guest Bookings as needed; Acting as the primary point of contact for Guests of the Listing and be represented as such on the listing Channel(s); With the Owner’s authorization, creating additional Listings on behalf of the Owner; Updating the Listing description, photos, and other Member Content of the Owner as needed; Messaging with Guests of the Listing as needed; Checking in and greeting Guests of the Listing (self-check in, smart lock); Checking out Guests of the Listing (key return, Listing inspection within 24 hours after checkout, notifying Owner about damages or any other issues within 24 hours following check out, guest assistance, and other services as needed); Assisting with issues that Guests may have with the Listing during their stay, including key loss, lockouts, emergency maintenance, and other services as needed; Liaising with Guests of the Listing on potential issues through the Channel Host resolution center.; Reviewing Guests of the Listing; Coordinate Cleaning after Guest stays; Resolving disputes with Guests of the Listing; and interacting with Airbnb or other marketing channels, including Customer Support. 

MARKETING CHANNELS. Using the Images (defined below) and information Owner provides to Us, HOMETELiER shall engage in the listing, display, promotion, and marketing of the Property through the HOMETELiER Channels. This may include, subject to the terms and conditions of this Agreement, the display of Images depicting the Property, the use of Owner’s description of the Property and HOMETELiER’s’ own description of the Property, and using commercially reasonable measures to ensure the distribution of these Images and descriptions so that travelers, third parties, and potential guests may create a Reservation to use the Property for a specified number of nights.

PROVISIONS OF IMAGES. Owner understand and agree that as a condition of entering this Agreement, prior to the creation of a new; or assignment to Owner’s existing Channel Listing, Owner shall provide to HOMETELiER at least 10  images of the Property that Owner own or have the full right to license to HOMETELiER for its use (the “Images”), subject to the conditions below. The decision to hire a photographer for additional images is a mutual decision between the parties. If required, HOMETELiER may assign an industry standard professional photographer. The cost of photography is the responsibility of the Owner to pay.  

PRICING. The Owner may suggest the base and minimum rates, or request for specific pricing at which the Property will be promoted or displayed as being available for Reservations; however, HOMETELiER shall manage the nightly rate(s) set, based on the demand, conditions, competitiveness and analytical review of the market. The rate is subject to the Channel(s) listing fee, and this fee is not included in HOMETELiER’s “Management Fee”. The “Management Fee” will not be charged upon the Channel(s) listing fee. 

NUMBER OF OCCUPANTS. As a suggestion, the number of occupants advertised for a Property should not exceed two (2) people, plus the addition of two (2) people per bed present on the Property. The Owner may request for the Listing to state a different number of occupants on the property, in contrary to the suggestion. However any conflicting local rules, regulations, ordinances, or bylaws stating otherwise, or different requirements, shall supersede this clause, and the Owner’s decision. 

RESERVATIONS. A Reservation is defined as a booked set of time for the property by a guest. Listings for Owner’s Property will be marketed for reservations of no less than 30 days, unless Owners are registered to operate on a short-term rental basis with the relevant township, municipality or state/provincial authority to Owner’s Property. Owners are welcome to block off the calendar for their usage of the property, with no limitations other than being subject to calendar availability. If an owner does stay at the property, the only additional cost incurred to the owner is a cleaning fee. 

OWNER CANCELLATIONS. Cancellation requests made by the Owner for existing guest reservations will be subject to the cancellation policies as set out by each Listing Channel. Dates for the Owner canceled reservation may be subject to being blocked indefinitely by the listing channel, and repetitive cancellations may result in the listing or account being banned. HOMETELiER will review all Owner cancellation requests, and HOMETELiER makes no guarantees to any waiver of the cancellation fees or availability of blocked dates if HOMETELiER accepts or processes a Owner cancellation request. Should the request be for a cancellation on one of HOMETELiER’s listing accounts, requests will be subject to a cancellation fee starting at $50 USD per night, in addition to the Listing Channel’s policies as the cancellation request pertains directly to affecting the standing of HOMETELiER’s listing account with the Listing Channel. 

The current (which is subject to change) language Airbnb’s Host Cancellation Policy reads as such; 

  • “HOMETELiER will impose fees subject to a minimum cancellation fee of $50 USD and a maximum cancellation fee of $1,000 USD. The fee is based on the reservation amount and when the reservation is canceled: 
  • If the reservation is canceled 48 hours or less before check-in, or after check-in, the fee is 50% of the reservation amount for the nights not stayed 
  • If the reservation is canceled more than 48 hours, and 30 days or less, before check-in, the fee is 25% of the reservation amount
  • If the reservation is canceled more than 30 days before check-in, the fee is 10% of the reservation amount 
  • When calculating cancellation fees, the reservation amount includes the base rate, cleaning fee, and any pet fees, but excludes taxes and guest fees. If the calculated cancellation fee is less than $50 USD, it will be adjusted up to $50 USD, and if the calculated fee is more than $1,000 USD, it will be adjusted down to $1,000 USD.”

GUEST CANCELLATIONS. Subject to the terms and conditions of this Agreement, any guest who made a reservation reserves the right to cancel their reservations in accordance with the cancellation policy set by Us on the listing Channel. 

SUPPORT. HOMETELiER reservations and customer support services are available 7 days a week. HOMETELiER shall accept Reservations of the Property in a manner that does not overlap with other Reservations. At the time of any guest making a Reservation, HOMETELiER shall collect payment of the Rate(s) charged for each night of the Reservation via credit card, debit card, or other means that may be available and accepted.

REPRESENTATION. By signing this agreement, The Owner is providing HOMETELiER with the authority and power to represent the owner and the owners property as an agent for the purpose of operating, managing, and maintaining the Property. This may include, but is not limited to; requests to Owner’s building management for maintenance requests or new keys, interacting with Owner’s vendors, preparing lease agreements for private Channel bookings, obtaining quotes for work to be done on Owner’s Property, etc.

HOUSEKEEPING. If the owner selected HOMETELiER to manage cleaning, HOMETELiER is responsible for hiring the cleaning and will coordinate Housekeeping schedules and payments to Cleaners. Cleaning will be performed after each stay. Housekeeping includes but is not limited to general unit cleaning, fridge, microwave, dishes, kitchen utensils, laundry etc. An additional Deep Cleaning Fee of $445 USD applies for any initial cleans, billed directly to Owner if required, and monthly stays, billed directly to Guests at the time of booking. Requests by Owner to perform deep cleans on a monthly basis are available, subject to the $445 USD Deep Cleaning Fee. Supplies costs associated with cleaning the Property in between guest stays are included in the Cleaning Fee. Deep Cleanings may be scheduled more frequently than quarterly if HOMETELiER determines the cleaning is required. Cleaning Fees will be billed to the guest by HOMETELiER and all income from cleaning will be paid to and collected by HOMETELiER. Cleaning revenue is not to be considered owner income. Cleaning Fee to be determined by the HOMETELiER Team.

ONBOARDING:

There is a $150 per unit Onboarding Fee that will be applied to the first month’s statement. 

This fee can be waived with a 2-Year Commitment.  

NECESSITIES.Owner are responsible for supplying the initial necessities for hosting reservations.  All Consumables listed below in the Replenishing Supplies Clause will need to be in the home prior to hosting. If the initial supplies are not provided, HOMETELiER will purchase and charge the owner the cost + 10%.

REPLENISHING SUPPLIES.  

HOMETELiER will replenish and provide supplies and deduct from the Rental Owner Statement.

  • Consumables outlined but are not limited to:
    • Dish Soap, Hand Soap, Shampoo, Conditioner, Body Wash, Dishwasher Pods, Laundry Detergent, Dryer Sheets, Toilet Paper, Trash Bags, Paper Towels.
  • Any additional items that are charged through HOMETELiER will be deducted from the Booking payout.

RESERVES. Owner will provide HOMETELiER with a $300 Reserves Deposit against repairs that will be deducted from Owner’s Booking payouts until satisfied.  This will be replenished monthly as necessary.  

KEYS & CODES. Owner will provide HOMETELiER with full access to the Owner’s Property as required, and as applicable. Upon request of Termination, and after the Final Settlement Invoice is settled as per the Term & Termination clause, HOMETELiER will return the same number of keys as was initially documented by; and provided to Us. 

TECHNOLOGY. Technology hardware that is purchased through HOMETELiER, or a 3rd party vendor, but is used and managed by Us, remains the Property of the Owner. HOMETELiER may create an account that may manage, control, and bind the hardware to a single account. Upon termination of HOMETELiER’s service and agreement, HOMETELiER will provide a cleared access, with no active account binding or lock, to the hardware. Should there be any upkeep, subscription, or replacement costs associated with the technology from normal use, wear and tear, or aging of the hardware, it shall be paid by the Owner unless the hardware was damaged by a Guest.

PROPERTY MAINTENANCE. If the owner selected HOMETELiER to manage maintenance service calls requiring contractors or specialized service people, HOMETELiER will manage the request to maintain Owner’s Property and its contents in its optimal operating condition, to the best of HOMETELiER’s ability. HOMETELiER will assess the nature of the request, any issues or complaints highlighted within the request, and the monetary responsibility to resolve and fulfill the request. HOMETELiER will communicate with the Channel Host insurance protection coverage, Owner, or the Guest as required. The cost and advancement of completing the request shall be subject to the Convenience clause located below.

EXTERIOR PROPERTY MAINTENANCE. If required, exterior maintenance of Owner’s Property will be at an additional cost. HOMETELiER will source, review with Owner, and schedule contractors to perform safety & aesthetic maintenance such as the following tasks, but not limited to; garbage removal from the Property & general landscaping, maintaining chemical levels in pool; opening/closing; and cleaning the swimming pool, etc. 

VENDORS. Owner’s are welcome to provide a list of service providers to add to the list of vendors and contractors that HOMETELiER will contact for Owner. HOMETELiER reserves the right to; provide Owner with a list of contractors available to service Owner’s Property; select a vendor to complete a task, order, or project; and obtain and present to Owner, quotes to compare cost and time efficiency. 

CONVENIENCE. If the owner selected HOMETELiER to manage Maintenance, any repairs, maintenance, purchase of items (identified as “Charges” in this clause); new or replacements, HOMETELiER will discuss such Charges with the Owner, and obtain approval from the Owner to order and proceed with the work. For Charges on the Property for less than $300 USD, HOMETELiER reserves the right to proceed and invoice without Owner’s explicit, written approval in the rare case that HOMETELiER are unable to obtain Owner approval for the Charges in a timely manner. This does not preclude the notification to the Owner of the charge, whether through email, messaging system, or through the month end Payout Statement. For any similar Charges that are above $300 USD, HOMETELiER will notify the Owner, and provide a quote in a timely manner for the repair, maintenance, purchase of items; new or replacements, required on the Property before proceeding with any work order, or planning of procurement of any items, pending explicit written approval from the Owner. 

COMPLICATIONS, DAMAGES & CHARGES AS A RESULT OF DAMAGES OR GUEST REQUESTS. HOMETELiER will communicate with the Guest, the Property’s building management and security personnel, Owner, and local law authorities to establish and enforce building, and Property “House Rules” established with Guests on the listing Channel(s) messaging system. In the case of Guest escalations, HOMETELiER will communicate with Guests to de-escalate issues and situations. If it is deemed necessary by Us or Owner, HOMETELiER will issue an immediate cease and desist of occupying the Property to evict Guests. If Property damage or a guest request occurs involving a Charge, HOMETELiER will contact the required service contractors and/or merchants to assist in returning the Property and its belongings to its original, livable state. As stated in the Convenience clause, any charges to the Property greater than $300 USD will result in notification to the Owner, and be pending approval for the commencement of any Charges for work, repair, replacement or reimbursement to the damage or missing items on the Property. HOMETELiER will do everything possible to win damage claims but is not responsible for damages for unapproved claims. 

HOMEOWNERS INSURANCE. All Owners are expected to have insurance to insure their Property from 3rd party and external claims. HOMETELiER is not responsible for the Property for damages and claims that occur outside of Our control. 

OPERATION INSURANCE. Owners are welcome to obtain additional insurance for the operation of the short term rental property, if they deem additional coverage is required above and beyond what is provided by the listing Channel(s). It may be referred to as; transient tenant coverage, commercial rental coverage, or short-term rental coverage. In the situation a Guest has caused damages to Owner’s Property and it is made evident by HOMETELiER’s presence on the Property, HOMETELiER will prepare and submit a claim through the proper channels, and their specific processes set out by each listing channel. HOMETELiER do not provide any insurance or assurances to cover for claims on the Property, or the outcome of claims made with the Channel(s). For more information, please see the clauses below regarding liability.

WAIVER OF LIABILITY. HOMETELiER  and or agents and employees shall not be liable for, and Owner waive all claims for, damage to property sustained by Us, employees, agents or contractors, or any other person claiming through Us, resulting from any accident in or upon the Premises or the Property of which they shall be a part, including, but not limited to, claims for damage resulting from: (1) any equipment or appurtenances becoming out of repair; (2) Landlord’s failure to keep the Property or the Premises in repair; (3) injury done or occasioned by wind, water, or other uncontrollable act; (4) any defect in, or failure of, plumbing, heating, or air-conditioning equipment, electric wiring, or installation thereof, gas, water and steam pipes, stairs, porches, railings, or walks; (5) broken glass; (6) the backing-up of any sewer pipe, or downspout; (7) the bursting, leaking, or running of any tank, tub, sink, sprinkler system, water closet, waste pipe, drain, or any other pipe or tank in, upon, or about the Property or Premises; (8) the escape of steam, or hot water; (9) water, snow, or ice being upon, or coming through the roof, skylight, doors, stairs, walks, or any other place upon, or near such Property, or the Premises, or otherwise; (10) the falling of any fixtures, plaster, or stucco; (11) fire or other casualty; and (12) any act, omission, or negligence of co-Tenants, or of other persons or occupants of the Property, or of adjoining or contiguous buildings, or of adjacent or contiguous Property. 

THIRD PARTY LIABILITY. HOMETELiER shall not be liable to the Owner for any damage by or from any act or negligence of any guest, co-tenant or other occupant of the Property, or by any property owner or occupant of adjoining or contiguous Property. HOMETELiER shall not be liable for any injury or damage to persons or Property resulting in whole or in part from the criminal activities of others. To the extent not covered by normal fire and extended coverage insurance, the Owner agree to pay for all damage to the Property, or pursue the respective parties responsible for reparation of such damage, outside of the previous clause “Waiver of Liability”. 

TAXES. As an Owner, Owner are solely responsible for determining Owner’s obligations to report, collect, remit or include in Owner’s Listing Fees any applicable VAT or other indirect sales taxes, occupancy tax, tourist or other visitor taxes or income taxes (“Taxes”).The Owner understand that any appropriate governmental agency, department and/or authority (“Tax Authority”) where Owner’s Accommodation is located may require Taxes to be collected from Guests or Owners on Listing Fees, and to be remitted to the respective Tax Authority. In the case that the Owner is a non-resident, HOMETELiER will prepare, withhold and remit the appropriate amount of tax and forms required by the appropriate local governmental agency, based on the jurisdiction that the Property is located in.

TAX REPORTING. HOMETELiER will collect information as required by the Internal Revenue Service from all entities, persons, and businesses that transact with Us, by way of completing Form W-9 for US residents, entities and businesses (excluding Incorporations) or Form W8-BEN(-E) for non-US citizens, entities or businesses. It is mandatory for Owner to provide taxation and revenue information on the aforementioned forms, and Owner acknowledges that it is Our right and responsibility to obtain this information on behalf of the IRS to report taxable income and revenue, as well as impose any penalties set out by the government issued guidelines for noncompliance. Failure to provide this information may result in heavy penalties leveraged against any future booking revenue, and potential prosecution against Owner.

TAX JURISDICTIONS. HOMETELiER may decide in its sole discretion to facilitate collection and remittance of Occupancy Taxes from or on behalf of Guests or Owner, in accordance these Terms (“Collection and Remittance”) if such jurisdiction asserts HOMETELiER or Owner have an Occupancy Tax collection and remittance obligation. In any jurisdiction in which HOMETELiER decide to facilitate direct Collection and Remittance, Owner hereby instruct and authorize HOMETELiER to collect Occupancy Taxes from Guests on the Owner’s behalf at the time Listing Fees are collected, and to remit such Occupancy Taxes to the Owner. The amount of Occupancy Taxes, if any, collected and remitted by Owner will be visible to and separately stated to both Guests and the Owner on their respective transaction documents. Where HOMETELiER is facilitating Collection and Remittance, Owners are permitted to collect any Occupancy Taxes being collected by HOMETELiER relating to their Accommodations in that jurisdiction.

CONFIDENTIALITY & NON-DISCLOSURE. By signing this agreement, the parties mutually recognize that, in the course of the provision of services to the Owner by HOMETELiER, both parties will have access to and will acquire knowledge of confidential and proprietary information. This information includes, without limitation: marketing and strategies; client and guest names, needs, and other information; client potential; and other types of information which would place either party at a competitive disadvantage if known by or revealed to competitors or customers.  The parties mutually recognize that, in the course of HOMETELiER’s agreement, in addition to company information, HOMETELiER may come into contact with persons of public importance, or of high value nature. Additionally, the Owner is being provided access to information on the operations, guests, marketing, processes, and documentation for listing and co-hosting a Property on short-term rental basis, which is not generally available elsewhere. Disclosure of such information could harm either parties, if it is known either competitors or the public at large. 

Accordingly, both parties agree to never disclose to any person or entity any of either parties’ proprietary information, trade secret or confidential business information as described above, without the prior written consent of the respective party to divulge, disclose or make accessible to any other person, firm, partnership, corporation or any other entity any confidential information except (a) in the course of carrying out their duties under this agreement or (b) when required to do so by a court of law, by any governmental agency having supervisory authority over the business of the company or by any administrative body or legislative body (including a committee thereof) with jurisdiction to order them to divulge, disclose or make accessible such information.

TERM & TERMINATION. This Agreement commences on the Signed Date and remains in effect until either party terminates this Agreement. In the event that the Owner wishes to terminate this Agreement, a minimum 30-days notice in writing by electronic mail to Support@HOMETELiERCo.com with a detailed explanation and reason for termination. HOMETELiER reserves the right to terminate the service of a short term rental property immediately. In the event HOMETELiER terminates the agreement, HOMETELiER shall notify the Owner via certified Mail and Email.HOMETELiER shall keep Owner’s listing active and bookable, as well as operate Owner’s property, until the end of the 30 day termination notice period.Should there be future, confirmed reservations (identified in this clause as “reservation(s)”) on any listings managed by HOMETELiER during the request for termination, one of the following will apply, under the mutual agreement of both parties; a) HOMETELiER shall continue to operate in full capacity on the property until the last date of the last reservation identified on the date of request for termination, with full Service Fee charges applicable. Any outstanding balances, dues, or funds remaining between either party will be reflected in a Final Settlement Invoice which will be provided to the Owner, and come with a NET 0 day payment policy. Should the invoice fall into an overdue state, HOMETELiER reserves the right to collect monies owed, based on the Charge Authorization clause below. Failure to retrieve payment for monies owed, and HOMETELiER reserves the right to contract a collections agency to collect any outstanding balance(s) from Owner. 

EARLY TERMINATION: There shall be an early termination fee of 150.00 per unit if this agreement is terminated within 6 months. Termination fees apply if HOMETELiER cancels service agreement.

PAYMENT INFORMATION. Owner will provide HOMETELiER Owner’s current Direct Deposit Information for release of payment of revenue to Owner.  Requests to change the Banking Deposit Info listed above should be initiated with Us.  This request must be received from Owner’s original email address that HOMETELiER has on file. It may take up to 5-7 business days for the update to take place. 

ENFORCEABILITY. If any portion or provision of this Agreement (including, without limitation, any portion or provision of any section of this Agreement) shall to any extent be declared illegal or unenforceable by a court of competent jurisdiction, then the remainder of this Agreement, or the application of such portion or provision in circumstances other than those as to which it is so declared illegal or unenforceable, shall not be affected thereby, and each portion and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. 

FULL AGREEMENT. This Agreement contains all terms between the Parties, and may not be modified, altered, or changed in any way except in a writing signed by both Parties. If any term, clause, or provision hereof is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause, or provision and such invalid term, clause, or provision shall be deemed to be severed from the Agreement. No waiver by any Party of a breach or a default hereunder shall be deemed a waiver by such Party of a subsequent breach or default of a like or similar nature. No amendment, alteration, modification, or variation of this Agreement shall be valid or binding unless set forth in a further written agreement executed by all of the Parties hereto. By signing this agreement, Owner agrees to the Terms of this Agreement, and Owner understands that Owner will create a binding contract that  Owner has the option to cancel at any time. Owner agrees that Owner has read, understood, and agreed to be bound by the terms and conditions of this Agreement. Owner represents and warrants that Owner is entering into this Agreement on Owner’s own behalf.
